License Agreement

This License Agreement ("Agreement") is a legal contract between you and SoftTent ("we," "us," or "our") that governs your use of our software products. By purchasing, downloading, or using our products, you agree to be bound by this Agreement. If you do not agree, do not use our products.

1. Grant of License

Subject to the terms of this Agreement, SoftTent grants you a limited, non-exclusive, non-transferable, revocable license to use our software products. The scope of your license is determined by the license tier you purchase (Single Site, Multi-Site, or Agency/Developer).

This license is granted for the duration of your subscription or, for lifetime licenses, perpetually subject to compliance with these terms.

2. License Types & Usage Rights

2.1 Single Site License (Starter)

• Installation and activation on one (1) WordPress website
• Access to product updates for one year
• Standard support via email for one year
• Use for personal or commercial projects

2.2 Multi-Site License (Professional)

• Installation and activation on up to ten (10) WordPress websites
• Access to product updates for one year
• Priority support via email for one year
• Use for personal or commercial projects
• Ideal for agencies and freelancers managing multiple client sites

2.3 Agency/Developer License (Agency)

• Installation and activation on up to one hundred (100) WordPress websites
• Access to product updates for one year
• Priority support via email for one year
• Use for personal or commercial projects
• Ideal for agencies, developers, and enterprises

2.4 Lifetime License

• One-time payment with no recurring fees
• Usage limits based on the tier purchased (1, 10, or 100 sites)
• Perpetual use of the product versions released during your license period
• Updates and support for one year from purchase date
• After one year, you may continue using the product but won't receive new updates or support unless you renew

3. Permitted Uses

You may:

• Install and use the product on the permitted number of websites specified by your license tier
• Modify the product code to suit your specific needs (modified code is not supported)
• Use the product for commercial projects and client work
• Transfer your installation to a different website by deactivating the current activation
• Receive updates and security patches during your active license period

4. License Transferability

Transfer to Clients: You may transfer a license to a client if the project is a completed website交付. When transferring:

• You must provide the client with the license key for activation
• The client becomes the license holder and receives direct support
• You relinquish your rights to use that license activation

Sale or Resale: You may not sell, resell, sublicense, or distribute our products as standalone items or as part of a bundle without explicit written authorization from SoftTent.

5. License Renewal

Your annual license includes updates and support for one year from the date of purchase. After one year:

• The product continues to work - your websites will not stop functioning
• You will not receive updates, including new features, bug fixes, or security patches
• You will not receive support for technical issues
• You may renew your license at a discounted rate to regain access to updates and support
• Renewal is optional - you can continue using the last version you received indefinitely

6. Restrictions

You may not:

• Use the product on more websites than authorized by your license tier
• Remove or alter any proprietary notices, including copyright, trademark, or license attribution
• Reverse engineer, decompile, or disassemble the product (except as permitted by applicable law)
• Distribute, resell, sublicense, or share your license key with others
• Use the product in a product-as-a-service, hosting, or similar commercial model where clients are charged for access
• Claim ownership or authorship of the product or any derivative works

7. Updates and Support

Updates: During your active license period, you receive automatic updates including:

• New features and improvements
• Bug fixes and patches
• Security updates
• Compatibility updates for new WordPress/WooCommerce versions

Support: Support includes assistance with:

• Installation and setup
• Configuration and feature usage
• Troubleshooting and bug resolution
• Questions about functionality and features

Support is provided via email at [email protected]. Response times are typically within 24-48 hours on business days.

8. License Expiration and Consequences

When your license expires (after one year for yearly licenses, or after the support period for lifetime licenses):

• Your license key remains valid - the product continues to work on your activated sites
• You will not receive automatic updates via the WordPress dashboard
• You will not receive technical support for issues related to the product
• You may renew at any time to restore updates and support access
• If you renew after expiration, your renewal period begins from the date of renewal, not the original expiration date

9. Ownership and Intellectual Property

SoftTent retains all ownership rights, title, and interest in the software, including all intellectual property rights. This Agreement grants you a license to use the software but does not transfer any ownership. All content, code, designs, trademarks, and related materials are exclusively owned by SoftTent and are protected by international copyright laws and treaties.

10. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of the terms. Upon termination:

• You must cease all use of the product
• You must remove the product from all websites where it is installed
• You must destroy all copies of the product in your possession
• Any applicable refund provisions in our Refund Policy will apply

11. Disclaimer of Warranty

The software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will meet your requirements or that its operation will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SoftTent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use our software. Our total liability shall not exceed the amount you paid for the license.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

14. Changes to This Agreement

We may update this License Agreement from time to time. We will notify you of material changes by posting the updated Agreement on this page and updating the "Last updated" date. Your continued use of the product after changes take effect constitutes acceptance of the revised Agreement.
