These Terms of Service ("Terms") govern your use of the SoftTent website at softtent.com and all related products and services (collectively, the "Service") operated by SoftTent ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Acceptance of Terms

By accessing and using SoftTent's products and services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you are using our Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SoftTent provides:

• Digital Software Products: WordPress plugins and themes available for download after purchase. Products are delivered electronically via your SoftTent account dashboard.
• License Management: License keys for activating premium features, with activation limits based on your purchased plan.
• Support and Updates: Product updates and technical support for the duration of your active license.
• Custom Development Services: Bespoke web development services provided under separate project agreements.

3. Use of Products

Our digital products are licensed, not sold. Your use of our products is governed by the applicable license agreement. Key terms include:

• You receive a limited, non-exclusive, non-transferable license to use the product.
• You may install and use the product on the number of sites permitted by your license type.
• You may modify the product for your own use.
• Unauthorized distribution, resale, sublicensing, or sharing of license keys is prohibited.

4. User Accounts

When you create an account with us:

• You must provide accurate, complete, and current information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access or use of your account.
• You must be at least 16 years old to create an account.

5. Payment Terms

All payments are processed through Paddle, our Merchant of Record. By making a purchase:

• You agree to pay the stated price plus any applicable taxes (handled by Paddle).
• Prices are displayed in USD and may vary based on your location due to tax requirements.
• Subscription plans will automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time through your account dashboard or by contacting support.
• Refunds are handled in accordance with our Refund Policy.

6. Product Delivery

Upon successful payment, digital products are delivered immediately via your SoftTent account. You will receive an email confirmation with access instructions. Products can be downloaded from your account dashboard at any time during your active license period. License keys are generated automatically and can be managed from your dashboard.

7. Intellectual Property

All content, code, designs, trademarks, and intellectual property rights in our products and services are owned by SoftTent. Your license grants you the right to use our products as specified, but does not transfer any ownership or intellectual property rights. You may not use our trademarks, logos, or brand materials without express written permission.

8. Prohibited Uses

You agree not to:

• Use our Service for any unlawful purpose or in violation of any applicable laws.
• Reverse engineer, decompile, or disassemble our products (except as permitted by applicable law).
• Redistribute, resell, or sublicense our products without authorization.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use our Service to transmit malware, spam, or other harmful content.
• Interfere with or disrupt the operation of our Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SoftTent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use our Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our Service will be uninterrupted, error-free, or completely secure.

11. Termination

We reserve the right to suspend or terminate your access to our Service at any time, with or without cause and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your license to use our products will be revoked, and you must cease using any downloaded products. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and dispute resolution.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of our Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent courts of Dhaka, Bangladesh. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also send a notification to your registered email address. Your continued use of our Service after changes take effect constitutes acceptance of the revised Terms.

14. Severability
